These Terms of Service ("Terms") govern your access to and use of CordLedger, a product of Frost Wave Technologies ("Frost Wave Technologies," "we," "us," or "our"). By creating an account, joining the waitlist, or otherwise using CordLedger (the "Service"), you agree to these Terms. If you don't agree, please don't use the Service.
CordLedger connects to a Tesla fleet's charging data and posts categorized, per-vehicle charging expenses into your accounting software (currently QuickBooks Online, with Xero planned). CordLedger is currently in early development. Features, pricing, and availability described on this site or in the app may change before general availability, and some functionality may be limited, incomplete, or offered only to a waitlist of early users.
You must be at least 18 years old and able to form a binding contract to use CordLedger. You're responsible for the accuracy of the information you provide when registering, for keeping your login credentials secure, and for all activity that happens under your account. Notify us right away at [email protected] if you suspect unauthorized use of your account.
CordLedger uses Auth0 for authentication. Depending on how your organization is configured, an account owner may invite additional users (e.g., an Accountant or Employee role) to a company's account, and different roles may have different permissions within the Service.
CordLedger offers a Free plan and paid subscription plans, each tied to a maximum number of vehicles. Paid subscriptions are billed through Stripe, our payment processor - we don't store your full card number ourselves. By subscribing to a paid plan, you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel.
You can change plans or cancel at any time from the Billing page or Stripe's Billing Portal. Upgrades and downgrades are prorated against your current billing period. If you cancel, you keep access through the end of your current billing period, after which your account reverts to the Free plan. We don't provide refunds for partial billing periods except where required by law.
CordLedger connects to third-party services you choose to authorize, including but not limited to the Tesla Fleet API, QuickBooks Online, and Xero. Your use of those services is governed by their own terms and privacy policies, not ours. We aren't responsible for outages, data inaccuracies, or changes made by those third parties that affect CordLedger's functionality, and we may need to adjust or temporarily disable an integration if a third-party provider changes its API or terms.
You agree not to: misuse the Service to violate any law; attempt to gain unauthorized access to other accounts, our systems, or connected third-party services; reverse-engineer or interfere with the Service's normal operation; or use the Service to store or transmit anything unlawful, infringing, or harmful.
You retain ownership of the business, vehicle, and accounting data you connect to or enter into CordLedger. You grant us a license to use that data solely to operate, maintain, and improve the Service on your behalf. See our Privacy Policy for details on how we collect, use, and protect data.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. Because CordLedger is in early development, you should independently verify synced accounting entries before relying on them for financial reporting, tax filing, or audit purposes.
To the fullest extent permitted by law, Frost Wave Technologies won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months before the claim arose.
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably possible.
We may update these Terms from time to time, especially as CordLedger moves out of early development. We'll update the "Last updated" date above when we do, and material changes will be communicated to registered users. Continued use of the Service after a change means you accept the updated Terms.
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles.
